   Foreign authorities cannot automatically verify whether documents issued in Thailand are genuine or legally valid. As a result, documents submitted without proper legalization may be rejected and considered invalid for official use.

   By obtaining legalization from the Ministry of Foreign Affairs’ Department of Consular Affairs, your documents are officially certified as:

• Legally valid and authentic
• Issued by an authorized government agency
• Reliable and trustworthy for international use
• Evidence that the company is legitimately registered and operating in Thailand

How to Prepare Company Documents for Legalization

   If you need to legalize company documents and certify a director’s signature, please prepare the following:

   1. Company Affidavit (Certificate of Incorporation)

   A company affidavit issued by the Department of Business Development (DBD), with an issue date no older than 6 months from the date of submission.

   2. Company Seal

   The company seal must be presented to the officer on the day of submission for verification purposes.

Signature Certification Process

   Once all required documents have been prepared, the next step is the signature certification process.

   According to the Department of Consular Affairs' regulations, the company director must sign the documents in person in the presence of a consular officer.

   If the company director is unable to appear in person, they may authorize another individual to submit the documents on their behalf. In this case, the director's signature must match the signature shown in their passport, and the original passport must be presented for verification.

Special Cases for Document Legalization

   In addition to the standard legalization process, there are certain situations that require additional procedures. These can generally be divided into two categories:

   Case 1: A Thai National Is a Director of a Company Registered Overseas

   In this situation, the applicant must first obtain a company certificate issued in the foreign country that identifies the Thai national as a company director. 

   The document must then be certified by either a Notary Public or the Ministry of Foreign Affairs of the country where the company is registered. Afterward, it must be authenticated by the Royal Thai Embassy or Royal Thai Consulate-General in that country.

   Once these certifications have been completed, the document can be submitted to the Department of Consular Affairs of Thailand's Ministry of Foreign Affairs for legalization.

   Case 2: A Thai Company Is a Shareholder of a Company Registered Overseas

   The process for this case is similar to the one above.

   The applicant must first obtain a company certificate issued in the foreign country that identifies the Thai company as a shareholder. The document must then be certified by a Notary Public or the Ministry of Foreign Affairs of that country.

   After receiving local certification, the document must be authenticated by the Royal Thai Embassy or Royal Thai Consulate-General in the country where the company is registered.

   Once both authentication steps have been completed, the document can be submitted to the Department of Consular Affairs of Thailand's Ministry of Foreign Affairs for final legalization.

What Business Documents Can Be Legalized?

   Company affidavits are not the only documents eligible for legalization. The Department of Consular Affairs can also certify a wide range of business and commercial documents, including:

   1.   Form BorJor. 5 (List of Shareholders)

   2.  Memorandum of Association

   3.  Articles of Association

   4.  Financial Statements

   5.  Company Registration Records

   6.  Registration Amendments and/or Special Resolutions
